1. Presentation of the certified Annual Financial Statements for the year ended 31.12.2011

Presentation of the certified Annual Financial Statements for the year ended 31.12.2011, plus the Annual Report, the Group Annual Financial Statements for the year ended 31.12.2011, as approved by the Supervisory Board, plus the Group Annual Report, and the report of the Supervisory Board on the 2011 financial year and the explanatory report of the Executive Board on the statements under § 289 (4), § 289a and § 315 (4) of the German Commercial Code (Handelsgesetzbuch, HGB).

The above-mentioned documents may be viewed on the Internet at www.solarworld.de/hv2012 and in the registered office of SolarWorld AG at Karl-Legien-Str. 188, 53117 Bonn. They may also be sent to shareholders on request. In addition, the documents shall be available and elaborated on at the Annual General Meeting. In accordance with the statutory provisions, no resolution is planned with regard to agenda item 1 as the Supervisory Board has already approved the Annual Financial Statements and Group Annual Financial Statements.

2. Resolution on the application of the balance sheet profit for the 2011 financial year

The Executive and Supervisory Boards propose to the General Meeting that the balance sheet profit as at 31.12.2011 of € 10,054,800.00 be applied as follows:

a)  Distribution of a dividend of € 0.09 per share entitled to a dividend:

€  9,971,585.37

b) Transfer to other reserves under § 58 (3) of the German Stock Corporation Act (AktG):

    €   83,214.63

The proposal on the application of the profit takes account of the shares the Company holds itself, which are not entitled to a dividend in accordance with § 71b AktG. The number of shares entitled to a dividend may change up to the Annual General Meeting. In this case with an unchanged dividend of € 0.09 per share entitled to a dividend, a proposal on the application of the profit will be made to the Annual General Meeting, which is adjusted accordingly.

The dividends shall be paid out on 25th May 2012.

3. Resolution on granting formal approval for the actions of the members of the Executive Board

The Executive and Supervisory Boards propose that approval be granted for the members of the Executive Board during the 2011 financial year and their actions during this period.

4. Resolution on granting formal approval for the actions of the Supervisory Board

The Executive and Supervisory Boards propose that approval be granted for the members of the Supervisory Board during the 2011 financial year and their actions during this period.

5. Election of the auditor for the 2012 financial year

The Supervisory Board proposes that BDO AG Wirtschaftsprüfungsgesellschaft, Bonn be appointed as auditor for the 2012 financial year.
