SolarWorld AG convenes its second noteholders' meetings in July04-06-13
Appointment of a noteholders' joint representative for each of the notes anew on the agenda

- July 9, 2013: Second noteholders' meeting for bond ISIN XS0478864225 (2010/2017)
SolarWorld AG invites its noteholders to the second noteholders' meetings taking place in Bonn on July 8 and July 9 respectively. The main objective of both noteholders' meetings is again to appoint a noteholders' joint representative for each bond.
As expected, the first two noteholders' meetings, which took place on May 22 and May 23, 2013, did not have quorum to appoint a noteholders' joint representative as the noteholders participating represented a value of less than half of the outstanding bond. For the purpose of appointing a joint representative, it is thus necessary to convene two individual noteholders' meeting for each bond. The holders' joint representative shall pool and represent the interests of all noteholders. The second noteholders' meetings do not need quorum to pass the resolution concerning the appointment of a noteholders' representative.
Moreover, at the noteholders' meeting the Management Board of SolarWorld AG will report on the status of the restructuring process. The restructuring concept is currently being prepared including all details. SolarWorld expects that the company will be able to present a concrete proposal to its noteholders within the next weeks. Resolutions on this concept shall be passed at further noteholders' meetings. SolarWorld AG endeavours to organize these meetings also on July 8 and July 9 2013 following the meetings concerning the appointment of the holders' representative in order to minimize efforts and expenses for all parties involved.
The second noteholders' meetings for the appointment of the joint representative will take place at the following dates:
Wednesday, July 8, 2013: bond ISIN XS0641270045 (2011/2016)
Thursday, July 9, 2013: bond ISIN XS0478864225 (2010/2017)
Both meetings begin at 10:00 a.m. Entry is from 8:30 a.m.
Both meetings will take place at Wasserwerk / World Conference Center Bonn (WCCB),

Noteholders who cannot participate personally at the meetings have the possibility to grant power of attorney either to a third party or to a SolarWorld proxy. The proxy will vote strictly according to the explicit instructions of the issuer of power of attorney. The power of attorney forms are available on SolarWorld AG's webpage at www.solarworld.de/noteholders-meeting.
Furthermore, SolarWorld AG offers the possibility to receive information about future noteholders' meetings within the restructuring process directly also to noteholders who will not be able to attend to the second meetings in July.
